Terms of Service

1. Introduction

These Terms of Service (“Terms”) govern your access to, and use of the products, services, and software provided by Supply’d Pty Ltd (ABN 17 636 457 817) (“Supply’d”, “we”, “our”, or “us”). By using our services, you agree to be bound by these Terms, our Privacy Policy, and any additional terms specific to certain services. If you do not agree, you must not use our services.

2. Definitions

  1. Services: All software solutions, platforms, applications, and related offerings provided by Supply’d.
  2. User / You: Any individual, business, or entity that accesses or uses our Services.
  3. Content: Any data, text, images, files, or other materials uploaded, shared, transmitted, or imported into the Services by or on behalf of the User.
  4. User Account: A registered account required to access certain features of our Services.
  5. Intellectual Property: All proprietary rights, including patents, copyrights, trademarks, and know-how.

3. Acceptance of Terms

By creating a User Account or using our Services, you confirm that you have the authority to bind yourself or your organisation to these Terms, will comply with all applicable laws, and consent to receiving notices electronically.

4. User Accounts

You must provide accurate and current information when registering. You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities under your account. You must notify Supply’d immediately of any unauthorised access. Supply’d may suspend or terminate accounts in cases of misuse, security risks, or non-compliance.

5. Use of Service

When using our Services, you must comply with all applicable laws and not engage in hacking, malware distribution, or data mining. You must not infringe upon the intellectual property rights of Supply’d or others. You may only upload or share Content you have the legal right to use.

6. Data Integrity and Importation

  1. Accuracy Responsibility: The User is solely responsible for the accuracy, completeness, and integrity of all Content.
  2. Importation Services: Where Supply’d assists with the uploading or migration of Content, such assistance is provided as a technical convenience only. Service fees may apply.
  3. Verification: It is the User’s absolute responsibility to review and verify the accuracy of all content at all levels following any upload or migration.
  4. No Warranty on Data: Supply’d accepts no responsibility for uploading or assisting to upload Content that is inaccurate or corrupted.
  5. Loss Assumption: Any cost or loss incurred by the User due to incorrect content whether uploaded by the User or by Supply’d on the User's behalf is the User’s sole responsibility. There shall be no opportunity to recover any such cost or loss from Supply’d.

7. Payment and Fees

Fees, billing cycles, and payment terms will be communicated upon registration or purchase. Payments may be processed by third-party providers; you agree to their terms. You are responsible for keeping billing information accurate. Non-payment may result in suspension or termination of Services.

8. Service Availability & Updates

Services are provided on an “as is” and “as available” basis. We aim for reliable uptime but do not guarantee uninterrupted access. Live platform status can be found here. Supply’d may introduce, modify, or discontinue features with reasonable notice.

9. Privacy & Data Protection

Supply’d collects and processes personal data in line with its Privacy Policy. We comply with the Australian Privacy Act 1988 (Cth) and, where applicable, the GDPR and CCPA. Data may be hosted with third-party providers using reasonable safeguards.

10. Intellectual Property

All Supply’d materials are our exclusive property. Users retain ownership of their Content but grant Supply’d a non-exclusive, worldwide, royalty-free licence to use, store, and process it as necessary to provide Services. Unauthorised reverse-engineering of Supply’d’s property is prohibited.

11. Disclaimer of Warranties

Services are provided without warranties of any kind, express or implied. We do not warrant that Services will be error-free, secure, or uninterrupted. You use our Services at your own risk. Nothing in these Terms excludes or limits any consumer guarantees under the Australian Consumer Law.

12. Limitation of Liability

To the maximum extent permitted by law, Supply’d is not liable for indirect, incidental, special, or consequential damages. Our total liability for any claim shall not exceed the amount paid by you for the Services in the 12 months preceding the claim. Specifically, Supply’d is not liable for any financial or operational loss resulting from data inaccuracies or errors in the importation of Content.

13. Indemnification

You agree to indemnify and hold harmless Supply’d, its officers, employees, and affiliates from any claims, damages, losses, or expenses arising out of your use of the Services, violation of these Terms, Infringement of third-party rights, or the provision of inaccurate Content.

14. Termination

You may terminate your account at any time by written notice. Supply’d may suspend or terminate accounts for non-payment, misuse, or legal violations, or security risks. Upon termination, your right to use the Services ceases immediately, though certain obligations (e.g., payment, indemnity, liability limitations) will survive.

15. Force Majeure

Supply’d is not responsible for failure or delay caused by circumstances beyond our reasonable control, including natural disasters, cyberattacks, or government actions.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of Victoria, Australia. Parties agree to attempt resolution through good-faith negotiation and mediation before court proceedings. Courts of Victoria shall have exclusive jurisdiction.

17. Changes to Terms

Supply’d may update these Terms periodically. Users will be notified of material changes via email, in-app notice, or website posting. Continued use after changes take effect constitutes acceptance.
